Terms of Service

BidScout (“we,” “our,” or “us”) provides an AI-powered Upwork monitoring and proposal drafting desktop application (“Service”) available at bidscout.co (“Site”). By using the Service, you (“you,” “your,” or “User”) agree to these Terms of Service (“Terms”). Please read them carefully.
1. Service Description
BidScout is a macOS desktop application that monitors Upwork for freelance job opportunities, uses AI to score and match opportunities to your profile, and drafts personalized proposals for your review. The Service runs locally on your computer and uses your own Chrome browser and Upwork credentials.
2. Beta Access
The Service is currently offered as a free beta. During the beta period:
- The Service is provided free of charge with no obligation.
- We may limit, modify, or discontinue features at any time without notice.
- Beta testers who provide feedback may receive preferential pricing when paid plans launch.
- We make no guarantees regarding uptime, availability, or feature stability during beta.
3. Beta-Specific Terms
By participating in the BidScout beta program, you acknowledge and agree to the following:
- Software stability: The beta version may contain bugs, errors, and incomplete features. Crashes, data corruption, and unexpected behavior are possible.
- Data loss: While we take reasonable precautions, data loss may occur during the beta. You are responsible for maintaining backups of any critical data.
- No SLA: There is no service level agreement during the beta period. We do not guarantee any specific uptime, response time, or support turnaround.
- Feature changes: Features may be added, modified, or removed without prior notice. The final product may differ substantially from the beta version.
- Beta termination: We may end the beta program at any time. When the beta concludes, continued access may require a paid subscription.
- Confidentiality: Beta features and non-public functionality should not be shared publicly without our written consent.
4. Account and Access
- You must be at least 18 years old to use the Service.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must provide accurate information when creating your account.
- You may not share your BidScout account credentials with others.
5. Your Responsibilities
You acknowledge and agree that:
- You are solely responsible for your Upwork account and compliance with Upwork's Terms of Service.
- You are solely responsible for reviewing and approving all proposals before submission to Upwork.
- You will not use the Service to submit proposals without personally reviewing them.
- You will not use the Service to spam, mass-apply, or engage in any activity that violates Upwork's policies.
- You are responsible for ensuring your use of the Service complies with all applicable laws and platform terms.
- You provide your own Upwork credentials, Anthropic API key, and Supabase database — we do not provide these.
6. Acceptable Use Policy
You agree to use BidScout in a responsible and lawful manner. The following activities are strictly prohibited:
- Excessive scraping: Configuring monitors to scrape Upwork at rates beyond the application's built-in limits, or modifying the application to bypass rate limiting.
- Credential sharing: Sharing your BidScout account, Upwork session, or API keys with unauthorized third parties.
- Data reselling: Scraping, exporting, or reselling Upwork job data, freelancer data, or any other data obtained through the Service.
- Automated submission: Modifying or extending the Service to automatically submit proposals or perform actions on Upwork without manual user approval.
- Platform manipulation: Using the Service to manipulate Upwork rankings, reviews, or any other platform metrics.
- Impersonation: Using the Service to impersonate another person or misrepresent your identity or qualifications.
- Competitive intelligence: Using the Service solely to gather market intelligence, monitor competitors, or collect data without genuine intent to apply for work.
Violation of this Acceptable Use Policy may result in immediate termination of your access to the Service without notice or refund.
7. Third-Party Platforms
BidScout is not affiliated with, endorsed by, or sponsored by Upwork Inc.
- BidScout is an independent third-party tool. We have no relationship with Upwork Inc.
- We do not guarantee that use of BidScout complies with Upwork's Terms of Service. It is your responsibility to review and comply with Upwork's current terms.
- Upwork may change their terms, API, website structure, or policies at any time without notice. Such changes may cause BidScout to stop functioning partially or entirely. We are not responsible for service disruptions caused by changes to third-party platforms.
- We are not responsible for any actions Upwork takes against your account, including but not limited to warnings, restrictions, suspensions, or permanent bans.
- We do not auto-submit proposals. The Service drafts proposals for your review — you decide what to submit.
- Your use of BidScout to interact with Upwork is entirely at your own risk.
- Similarly, Anthropic may change their API terms, pricing, rate limits, or availability at any time. We are not responsible for disruptions to AI features caused by changes to Anthropic's services.
8. AI-Generated Content
- BidScout uses artificial intelligence (Anthropic's Claude) to score opportunities and draft proposals.
- AI-generated proposals are suggestions only. You are responsible for reviewing, editing, and approving all content before submission.
- We do not guarantee the quality, accuracy, or effectiveness of AI-generated content.
- We do not guarantee that AI-drafted proposals will result in contracts, interviews, or any specific outcome.
- AI scoring is an estimate and should not be relied upon as the sole factor in your job application decisions.
- AI-generated content may occasionally contain inaccuracies, hallucinations, or inappropriate text. Always review before submitting.
9. Intellectual Property
Our Intellectual Property
BidScout, including its software, design, branding, documentation, and all related intellectual property, is owned by BidScout and protected by copyright, trademark, and other intellectual property laws. Your use of the Service does not grant you any ownership rights in the software or any of its components.
Your Content
You retain full ownership of your data, including your freelancer profile, monitor configurations, proposal drafts, and any content you create or input into the Service. We do not claim any intellectual property rights over your content.
AI-Generated Proposals
Proposals drafted by the AI are generated for your use. You may use, modify, and submit them freely. We do not claim ownership of AI-generated proposals created through your use of the Service.
10. Local Processing and Data
- BidScout runs locally on your Mac. Your Upwork session, API keys, and credentials are stored on your device using macOS Keychain encryption.
- We do not access your Upwork account from cloud servers or infrastructure.
- Your job data and proposals are stored in your own Supabase database. We do not have access to your database unless you explicitly share credentials for support purposes.
- You are responsible for the security of your local machine and your Supabase database.
11. Usage Restrictions
You may not:
- Resell, sublicense, or distribute the Service to third parties.
- Reverse engineer, decompile, or disassemble the Service.
- Use the Service for any illegal or unauthorized purpose.
- Attempt to circumvent any security measures or access controls.
- Use the Service to harm, harass, or defraud other users on any platform.
- Use the Service in a way that creates an unreasonable load on third-party services.
- Remove, alter, or obscure any proprietary notices or labels on the Service.
12. Feedback
If you provide feedback, suggestions, ideas, or recommendations regarding the Service (“Feedback”), you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, modify, incorporate, and commercialize such Feedback in any manner without obligation or compensation to you. You acknowledge that we may already be developing similar features or ideas independently.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we expressly disclaim any guarantee or representation that:
- The Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
- The Service will meet your requirements or achieve any particular results.
- Using BidScout will result in winning Upwork contracts, increasing revenue, or improving your Upwork profile or standing.
- AI-generated proposals will win contracts, receive responses, or produce any return on investment.
- Your Upwork account will not be flagged, restricted, suspended, or banned as a result of using the Service.
- AI scoring accurately reflects the quality or suitability of any opportunity for your specific situation.
- Job data scraped from Upwork is complete, accurate, or up to date.
- The Service will continue to function if Upwork changes its website, terms, or anti-automation measures.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIDSCOUT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF UPWORK ACCOUNT ACCESS, UPWORK ACCOUNT SUSPENSION OR TERMINATION, LOSS OF CONNECTS OR CREDITS, OR ANY OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.
15. Indemnification
You agree to indemnify, defend, and hold harmless BidScout and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any third-party rights, including Upwork's Terms of Service.
- Any proposals submitted through Upwork using content generated or assisted by the Service.
- Any actions taken against your Upwork account related to your use of the Service.
16. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, government actions, power outages, internet service disruptions, third-party platform outages (including Upwork or Anthropic service disruptions), cyberattacks, or changes in applicable law or regulation.
17. Termination
- You may stop using the Service at any time by uninstalling the application.
- We may suspend or terminate your access at any time for any reason, including violation of these Terms.
- Upon termination, your right to use the Service ceases immediately.
- Since your data is stored locally and in your own Supabase database, termination does not affect your data.
- Sections regarding Disclaimer of Warranties, Limitation of Liability, Indemnification, Intellectual Property, and Governing Law shall survive termination.
18. Export Controls
The Service may be subject to United States export control laws and regulations. You agree not to export, re-export, or transfer the Service to any country, entity, or person prohibited by applicable export control laws, including but not limited to countries subject to U.S. sanctions (e.g., Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine). You represent that you are not located in, under the control of, or a national or resident of any such restricted country or on any restricted party list.
19. Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction and without notice to you, including in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of our assets.
20. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated via email to registered users. Continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to stop using the Service.
21. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
22. Dispute Resolution
Any dispute arising from these Terms will be resolved through binding arbitration in the State of Delaware. You agree to waive any right to a jury trial and to participate in class actions.
23. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
24. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and BidScout regarding the Service and supersede all prior agreements, understandings, and communications.
